Commercial Counsel

This is a fully remote position, open to applicants in Poland.

📋 Description

• Review, draft, and negotiate customer, supplier, and partner agreements in accordance with US law, including SaaS terms, order forms, NDAs, and DPAs.

• Provide clear recommendations and remain engaged until the agreement is signed or resolved.

• Manage AI-specific contracting issues related to data utilization, training, output ownership, liability, and warranties.

• Lead the legal preparation for enterprise deals and due diligence.

• Maintain practical templates, negotiation stances, and an organized contract archive.

• Oversee practical data protection efforts and convert regulatory or specialist guidance into actionable tasks with designated owners and deadlines.

• Manage external legal counsel, including briefs, budgets, advice, coordination with other jurisdictions, and specialist issues.

• Assist with fundraising and corporate transactions.

• Aid the Finance team in maintaining records, approvals, filing deadlines, and authorities across US, Polish, and German entities.

• Enhance legal intake, drafting, and tracking processes using approved AI tools complemented by human review.

• Establish the first dedicated legal function and influence its future direction.

⛳️ Requirements

• Licensed to practice law in a US state.

• Practical experience in drafting and negotiating commercial contracts governed by US law.

• Capability to independently manage SaaS terms, order forms, NDAs, and DPAs.

• Commercial acumen to differentiate significant business risks from drafting preferences and suggest feasible alternatives.

• Ability to oversee matters from start to finish, including negotiation, resolution, obligation tracking, administrative follow-through, and timely escalation.

• Competence to lead the US-law core and coordinate with other jurisdictions, particularly the EU.

• Understanding of when to involve local or specialist legal counsel.

• Excellent written and spoken English skills.

• Organized, discreet, and proactive approach to work.

• Familiarity with GDPR, experience in B2B software or AI, and knowledge of AI/data contracting are beneficial.

• Experience with venture-backed firms and financing rounds is a plus.

• Experience in managing multi-entity or cross-border corporate matters is advantageous.

• Familiarity with enterprise procurement and security assessments is a plus.
