Commercial Counsel

This is a fully remote position, open to applicants in United States.

📋 Description

• Take charge of drafting, negotiating, and executing custom commercial agreements with key partners and sophisticated entities in the payments and fintech sectors, including innovative deal structures.

• Develop new agreement frameworks and provide practical, business-focused legal advice that balances risk, speed, and flexibility.

• Collaborate cross-functionally with teams in Business Development, Sales, Product, Engineering, Finance/Tax, and Compliance to address complex challenges, foster partnerships, and expedite deal closures.

• Create scalable commercial playbooks and risk mitigation strategies that enhance deal timelines and boost business adaptability across the payments portfolio.

• Recognize legal issues that go beyond your primary expertise and facilitate their resolution by coordinating with specialists within the Coinbase legal team and external counsel.

⛳️ Requirements

• Over 5 years of transactional legal experience, either in-house or at a prominent law firm, holding a JD (or equivalent) and an active license in a U.S. state.

• Proven expertise in drafting, structuring, and negotiating intricate commercial agreements with fintechs, banks, payment processors, payment networks, and/or payment issuers/acquirers.

• Demonstrated ability to navigate highly regulated financial services environments and convert changing regulatory landscapes into actionable commercial advice.

• A successful history of independently managing a high-volume deal pipeline while ensuring accuracy in drafting and risk evaluation.

• Effectively utilizes generative AI with responsible practices, ensuring human oversight to produce business-ready outputs and drive measurable enhancements in workflow efficiency, costs, and quality.
