Clinical Trial Counsel, Commercial & R&D – Pharma / Life Sciences

This is a fully remote position, open to applicants in United States.

📋 Description

• Prepare, assess, and negotiate a diverse array of agreements, such as:

• Master Services Agreements (MSAs)

• Statements of Work (SOWs)

• Clinical Trial Agreements (CTAs)

• Non-Disclosure Agreements (NDAs) and Confidential Disclosure Agreements (CDAs)

• Consulting Agreements

• Offer legal assistance for international transactions and cross-border partnerships

• Provide guidance and support for collaborations with Clinical Research Organizations (CROs)

• Manage R&D-related legal matters, including:

• Pre-clinical research agreements

• Sponsored research agreements (e.g., collaborations between industry and academia)

• Material Transfer Agreements (MTAs)

• Assist in licensing and collaboration agreements within the life sciences sector

• Collaborate with business stakeholders, including business development and licensing (BD&L) teams, on strategic and operational projects

• Play a key role in structuring and negotiating research collaborations and associated transactions

⛳️ Requirements

• Juris Doctor (J.D.) and active bar membership in good standing

• Experience in the pharmaceutical, biotech, medical device, or health system industries (a combination is preferred)

• Proven experience in at least one of the following key areas:

• Global transactional experience

• Collaboration with Clinical Research Organizations (CROs)

• R&D legal work, including pre-clinical and sponsored research

• Knowledge of intellectual property transactions within the life sciences sector

• Experience in supporting licensing, collaboration, and research agreements

• Excellent drafting, negotiation, and stakeholder management abilities
