This is a fully remote position, open to applicants in Tennessee.
• Act as a legal advisor and strategic partner to internal stakeholders, concentrating on commercial technology transactions, such as IT, SaaS, data-use, and agreements related to artificial intelligence.
• Draft, assess, and negotiate a wide array of intricate commercial agreements, including software licensing, cloud services, data sharing, AI/ML-enabled solutions, vendor agreements, and strategic partnerships.
• Collaborate directly with business, procurement, IT, information security, and compliance teams to identify and address legal, operational, and technology-related risks in transactions.
• Provide guidance on data governance, privacy, security, and legal considerations associated with AI, including suitable risk allocation and regulatory implications.
• Structure and negotiate enterprise-level transactions, ensuring a balance between legal protections and business goals alongside operational realities.
• Function as a strategic legal partner for international expansion and commercialization efforts, including advising on cross-border technology transactions and market entry factors.
• Offer practical, business-focused advice on proposed agreements, transactions, and emerging legal issues pertaining to technology and digital innovation.
• Assist with due diligence and integration efforts for transactions involving technology, data assets, or vendor relationships.
• Create, maintain, and enhance contract templates, playbooks, and internal guidance materials to improve scalability and consistency in contracting processes.
• Coordinate and manage matters with outside counsel as necessary to ensure effective and cost-efficient support.
• Advise on contracting policies, procedures, and best practices, contributing to the continuous enhancement of legal team processes and tools.
• Cultivate strong cross-functional collaboration and communication to support business aims and foster effective partnerships with the legal team.
• Collaborate closely with leadership and colleagues to enhance workplace relationships, boost morale, and improve productivity and retention.
• J.D. degree from a law school accredited by the ABA.
• Licensed to practice law and in good standing with at least one U.S. state bar.
• Over 6 years of relevant legal experience, ideally combining both law firm and/or in-house experience, with a strong emphasis on commercial contracting and technology transactions.
• Proven experience in drafting and negotiating complex agreements, including SaaS and cloud services agreements, software licensing and implementation agreements, data use, data sharing, and data protection agreements, as well as AI/ML-enabled products and services.
• Strong knowledge of technology-related risk allocation, including indemnification, limitation of liability, service levels, data security, and privacy considerations.
• Experience working closely with business, procurement, IT, and/or information security teams to facilitate technology transactions.
• Background in supporting international transactions or cross-border commercial arrangements is an asset.
• Preferred experience in the healthcare industry.
• Exceptional oral and written communication skills, with the ability to simplify complex legal concepts into actionable business advice.
• Excellent organizational abilities and attention to detail, capable of managing multiple priorities in a fast-paced environment.
• Ability to work independently while exercising sound judgment and properly escalating issues when necessary.
• Strong interpersonal and stakeholder management skills, with a collaborative and solutions-oriented mindset.
• Demonstrated strategic thinking and business acumen, able to balance legal risks with commercial objectives.
• Proficient in Microsoft Office tools (Word, PowerPoint, Outlook, Excel); experience with contract lifecycle management tools is a plus.
