Associate General Counsel

This is a fully remote position, open to applicants in New York.

📋 Description

• Provide legal and business guidance to Centivo on a wide range of issues.

• Report directly to the Chief Legal Officer and collaborate with external counsel.

• Draft, negotiate, review, and finalize contracts with clients, vendors, and partners.

• Oversee contract intake, inventory, executed agreements, file management, and renewal tracking using Ironclad.

• Integrate contract intake processes with relevant systems, including Salesforce.

• Advise on privacy and data protection regulations, encompassing HIPAA and state laws.

• Provide counsel on ERISA and Department of Labor regulations impacting self-funded plans, TPA operations, and plan sponsors.

• Assist in ensuring compliance with licensing requirements, including medical licensing, corporate practice of medicine laws, and licensing for individual producers and TPAs.

• Support the virtual primary care initiative concerning legal and regulatory inquiries.

• Manage disputes with clients, vendors, and others from initial resolution to formal proceedings.

• Coordinate with external counsel, monitor matters until resolution, and keep business stakeholders updated.

• Aid in acquisitions, investments, and other corporate transactions, including conducting legal due diligence.

• Review due diligence materials, identify risks in straightforward language, and assist in preparing transaction documents in collaboration with external counsel.

• Contribute to the development of the in-house counsel function and associated processes.

⛳️ Requirements

• Juris Doctor (JD) degree from an accredited law school.

• Licensed to practice law in at least one state, with a preference for those admitted to the New York State bar.

• Minimum of 3 years of experience in a law firm or in-house legal department.

• Proficiency in commercial agreements and transactions within a health plan context.

• Comprehensive understanding of TPAs, health plans (particularly ASO/self-funded operations), and related ERISA regulations.

• Familiarity with contract management and workflow tools, along with a willingness to leverage AI and other technologies to streamline legal processes.

• Knowledge of medical licensing, corporate practice of medicine statutes, and compliance frameworks.

• Exceptional verbal and written communication skills.

• Capability to explain complex or technical concepts in a manner that is accessible to non-lawyers.

• Aptitude for understanding business goals and translating them into legal and regulatory frameworks.

• Strong strategic thinking, business acumen, analytical skills, and adaptability in navigating ambiguity.

• Authorized to work in the United States for any employer.

• Must not require sponsorship for a work visa.
