This is a fully remote position, open to applicants in Washington.
• Prepare, assess, and negotiate clinical operations agreements, which include clinical trial agreements, confidentiality agreements, master services agreements, ancillary contracts, consulting agreements, and informed consent forms.
• Create clear, practical, and balanced contract terms that support business goals.
• Tailor contract structures and terms while ensuring alignment with company standards.
• Evaluate and analyze contracts for legal risks, compliance issues, and business implications.
• Collaborate with internal stakeholders to grasp operational goals and provide insight on contractual rights, responsibilities, and risk trade-offs.
• Ensure that contracts comply with company policies, legal standards, and strategic directives, escalating complex or high-risk matters as necessary.
• Offer pragmatic, business-oriented legal counsel on contract-related issues.
• Provide guidance on intellectual property, indemnification, limitation of liability, confidentiality, and other legal factors that influence contract negotiations.
• Create and present training materials, guidance, and presentations regarding contract processes, policies, and best practices.
• Oversee contractual obligations to ensure adherence to agreed-upon terms and conditions.
• Work alongside cross-functional teams to establish procedures that enhance contract compliance and reduce legal and operational risks.
• Support internal audits, address issues, and drive continuous enhancement of contracting practices.
• Report directly to the Senior Director, Contracts Counsel.
• J.D. from an accredited law school with an active bar membership (Washington preferred).
• At least 5 years of combined experience in law firms and/or in-house legal roles within the biotechnology, pharmaceutical, or life sciences sectors.
• A minimum of 2 years of direct experience as a contracts attorney responsible for drafting and negotiating clinical trial agreements.
• Required experience in supporting clinical operations contracting.
• Strong knowledge of contract law, US and international clinical study frameworks, and pertinent regulatory factors.
• Exceptional analytical abilities with a keen attention to detail and capacity to apply legal judgment in a business context.
• Proficient negotiation, communication, and stakeholder management capabilities.
• Solutions-oriented, collaborative, and adept at functioning in a fast-paced, dynamic environment.
• Proven client-service orientation and ability to collaborate effectively across functions.
• Experience with AmLaw 100 law firms is strongly preferred.
