This is a fully remote position, open to applicants in United States.
• Deliver thorough legal counsel and advisory services to the Board of Directors and its committees (Audit, Nominating & Governance, Compensation, and other governance committees) concerning governance frameworks, regulatory obligations, and risk management issues.
• Formulate, examine, and refresh corporate governance policies, procedures, charters, and documentation to guarantee adherence to relevant laws, regulations, and best practices; provide insights to the Board regarding governance trends.
• Create and oversee materials for Board meetings, including agendas, resolutions, minutes, consent agendas, and committee documents; ensure accurate documentation, recordkeeping, and confidentiality of Board-related information.
• Counsel on Board composition, director qualifications, independence criteria, conflicts of interest, related-party transactions, and the structure and effectiveness of Board committees.
• Offer legal analysis and advice on executive compensation arrangements, equity plans, director and officer indemnification, and D&O insurance issues.
• Collaborate with external counsel, auditors, regulators, and other stakeholders on governance issues, regulatory reviews, and compliance inquiries.
• Provide guidance on corporate transactions, significant contracts, and major business arrangements that involve governance, regulatory, or compliance factors needing Board awareness or approval.
• Oversee the Board materials repository, governance documentation systems, and records management to ensure secure storage, version control, and appropriate access.
• Conduct legal research and analysis; draft written legal opinions, memoranda, presentations, and governance documentation for both the Board and leadership.
• May take on additional legal responsibilities and special projects as necessary to support organizational goals and the wider legal department.
• Juris Doctorate degree from an accredited law school with a solid academic performance and 8-12 years of relevant legal experience.
• Admission to at least one state bar. If admitted in a state other than Florida, the candidate must be able to obtain certification in Florida as Authorized House Counsel.
• Proven expertise in corporate governance, encompassing Board administration, governance policies, director and officer responsibilities, and Board committee operations.
• In-depth knowledge of corporate and commercial law, including corporate structure, bylaws, resolutions, and contract assessment.
• Demonstrated experience providing counsel to boards of directors or senior leadership on governance, compliance, and risk management issues.
• Established capability to conduct legal research and analysis; draft written legal opinions, memoranda, and governance documentation.
• Exceptional written and verbal communication skills, with the ability to clearly convey complex legal and regulatory concepts to non-attorney audiences.
• Proven leadership, project management, and organizational skills; adept at handling multiple priorities and meeting deadlines.
• Strong interpersonal and relationship-building abilities; capable of fostering and sustaining effective relationships with Board members, executives, and organizational stakeholders at all levels.
• Sound professional judgment and discretion; proven ability to manage sensitive, confidential, and privileged information appropriately.
• Demonstrated initiative, self-motivation, and capacity to work independently with minimal oversight.
