This is a fully remote position, open to applicants in United States.
• Oversee the drafting, evaluation, negotiation, and lifecycle management of a diverse array of intricate commercial agreements, including sales agency, distribution, manufacturing, supply, licensing, technology, clinical, commercialization, and collaboration agreements.
• Create, assess, and negotiate supplementary commercial documents, such as non-disclosure agreements (NDAs), statements of work, purchase and sale terms and conditions, data processing agreements, license agreements, and material transfer agreements.
• Assist in the execution and ongoing enhancement of contract lifecycle management processes, encompassing contract governance, workflow optimization, and legal operations initiatives.
• Establish, maintain, and revise standard contract templates, playbooks, and contracting policies to boost efficiency, consistency, and risk management throughout the organization.
• Identify and evaluate significant contract risks, obligations, and practical mitigation strategies.
• Provide guidance to internal stakeholders on contract interpretation and dispute avoidance, addressing issues related to indemnification, limitation of liability, warranties, intellectual property ownership and licensing, payment terms, service levels, data rights, confidentiality, insurance, force majeure, termination, and dispute resolution.
• Offer counsel on federal healthcare laws, HIPAA, state data privacy and security laws, software licensing, FDA law, intellectual property, and other legal risk areas pertinent to healthcare technology commercial transactions.
• Keep abreast of changes in relevant laws, regulations, and industry practices impacting commercial contracting and proactively inform business leaders about legal developments and associated risks.
• Supervise and manage external counsel concerning commercial transactions and specialized legal matters as necessary.
• Provide advice on employment-related issues, including hiring, terminations, policies, and internal investigations, in collaboration with Human Resources.
• Manage the relationship with external immigration counsel and coordinate with business leaders and Human Resources on immigration-related issues and compliance with relevant immigration laws and regulations.
• Assist in managing specific litigation and disputes, including demand letters, settlement support, and coordination with external counsel when needed.
• Support subsidiary governance and entity management activities, including formation/maintenance, intercompany documentation assistance, and updating officers/directors.
• Offer assistance on U.S. and international data privacy laws, data governance practices, and compliance with evolving privacy frameworks.
• Provide support on intellectual property-related matters, including collaboration with IP counsel.
• Analyze and summarize complex legal, regulatory, and commercial issues for business teams.
• Work collaboratively across functions to support Finance, HR, Operations, QA/RA, and business teams to ensure alignment with internal policies and external regulatory requirements; aid in the development, implementation, and monitoring of company-wide compliance initiatives.
• Help implement processes that save time and costs, establish controls, and automate the legal department, while participating in other duties as required or requested.
• Acquire comprehensive knowledge of Advita’s business and stay informed about changes in laws or regulations that impact Advita’s operations.
• 5+ years of experience in handling commercial contracts as an in-house corporate attorney or at a law firm.
• Proven experience managing a wide range of corporate legal matters, especially in commercial contracting.
• Familiarity with working directly with internal clients and business stakeholders to comprehend business needs, provide practical legal advice, and facilitate timely decision-making.
• Experience with federal healthcare laws, including HIPAA and other data privacy regulations, as well as FDA law, is highly desirable.
• Desirable experience in data privacy, employment, and/or intellectual property issues.
