This is a fully remote position, open to applicants in United States.
• Oversee legal strategy and provide proactive support throughout the entire BESS project lifecycle.
• Organize and facilitate the negotiation of essential project agreements.
• Offer senior legal guidance and strategic oversight on permitting, environmental assessments, land utilization, and siting issues.
• Collaborate with esVolta’s government and regulatory affairs team to monitor and provide insights on ISO/RTO market regulations.
• Lead or manage legal assistance for responses to utility and corporate RFPs.
• Counsel on commercial agreements with corporate offtakes, data centers, and hyperscale clients.
• Provide strategic advice on commercial risk distribution, project bankability, and offtake structuring.
• Oversee legal due diligence, transaction management, and closing processes for project and portfolio acquisitions.
• Act as the primary legal contact for lenders, investors, and counterparties regarding transactional issues.
• Collaborate with the Chief Legal Officer and VP, Deputy General Counsel to create and execute legal strategies that support the company's capital markets and M&A goals.
• Supervise and mentor junior members of the legal team.
• Select, direct, and manage engagements with external legal counsel.
• 15 years of relevant legal experience in a law firm, a sophisticated in-house legal department, or a government agency.
• Proven experience with utility-scale BESS projects in CAISO, WECC, SPP, ERCOT, or MISO.
• J.D. from an accredited U.S. law school and an active license in good standing required; preference for admission to the California, New York, or Texas bar.
• Prior in-house experience at an independent power producer, renewable energy developer, or energy storage company is highly desirable.
• Comprehensive understanding of permitting, environmental assessments, land use, siting, interconnection, real estate, procurement, and ISO/RTO market issues pertinent to utility-scale BESS projects.
• Extensive experience supporting project finance transactions, including construction lending, tax equity, and debt and equity capital markets structures for energy assets.
• Proficient in legal technology and contract management tools, including AI-assisted research, drafting, and workflow platforms.
• Strategic thinker with a commercial mindset, capable of functioning as a trusted business partner.
• Proven ability to independently lead legal workstreams, manage competing priorities, and deliver results under tight deadlines.
• Established record of managing cross-functional legal projects.
• Exceptional written, verbal, and presentation skills.
• Collaborative, adaptable, and responsive, with strong interpersonal and negotiation abilities.
