This is a fully remote position, open to applicants in United States.
• Conduct research, underwriting, and support for transactional risk insurance policies, which includes drafting, negotiating, and modifying policy terms.
• Recognize deal risks by analyzing merger and acquisition (M&A) transaction documentation, both public and private, along with financial statements, due diligence reports, and more.
• Review M&A insurance proposals, prepare and submit quotes, collaborate with brokers, and secure business opportunities.
• Assist Senior Underwriters throughout the underwriting process and in Account Management, by monitoring transaction status, quoting, policy progress, premium statements, and related documentation.
• Draft, negotiate, and modify policy terms to address the unique risks and challenges presented by M&A transactions.
• Support and oversee the performance of external legal counsel representing the company in each M&A transaction.
• Build and maintain relationships with brokers, attorneys, private equity firms, deal principals, and colleagues from Tokio Marine HCC offices globally.
• Organize and/or take part in special projects related to underwriting standards, best practices, and legal compliance.
• Participate in off-site conferences, trade shows, seminars, and meetings.
• At least 5 years of relevant and progressive experience in investment banking, advisory roles in financial services, private equity, legal services, or relevant experience in financial lines underwriting.
• Bachelor's degree in Legal Studies, Economics, Business, Accounting, Finance, or a related field, or equivalent education and/or experience.
• A Master’s degree or Juris Doctorate is preferred.
• Specific experience in negotiating or mediating representations and warranties or other transactional risk insurance is preferred.
• Excellent written and verbal communication skills in English, with a focus on confidentiality, tact, and diplomacy (additional language skills are a plus).
• Basic understanding of legal exposures in transactions (such as taxation, breaches, litigation, price adjustments, damages, etc.).
• Familiarity with legal documentation, financial statements, and tax matters.
• Ability to apply comprehensive knowledge of principles, practices, and procedures.
• Exceptional organizational and analytical abilities; proven capacity to manage multiple tasks concurrently.
• Capability to perform under stressful conditions.
• Ability to thrive in a fast-paced environment and meet tight deadlines.
• Strong negotiation and communication abilities.
• Awareness of industry changes, legal updates, and technical advancements relevant to the Company’s business to proactively adapt to a changing business landscape.
• Intermediate proficiency and experience with the Microsoft Office suite (Excel, Access, PowerPoint, Word).
