This is a fully remote position, open to applicants in United States.
• Oversee transaction tax engagements from start to finish, collaborating closely with the Practice Leader and cross-functional teams (R&D, cost segregation, transfer pricing).
• Direct transaction cost analyses under Section 263(a)/INDOPCO, encompassing success-based fee analysis and the Rev. Proc. 2011-29 safe harbor election, along with supporting documentation studies.
• Conduct Section 382/383 ownership change analyses and limitation calculations, which include NUBIG/NUBIL determinations and Section 338 approach modeling.
• Assist in buy-side and sell-side tax due diligence: identifying exposures, analyzing attributes (NOLs, credits, E&P), and considering structuring options (stock vs. asset, Section 338(h)(10)/336(e) elections).
• Take ownership of project execution: providing status updates, managing timelines, identifying technical issues, and overseeing deliverables.
• Gather, format, and analyze extensive datasets to create intricate calculation models and support tax positions.
• Prepare and/or review technical memoranda (opinion letters, IRS responses, ruling requests) and assist with audit readiness, including UTP/FIN 48 reserve considerations.
• Mentor, train, and supervise junior team members, ensuring consistent quality and adherence to best practices.
• Bachelor’s degree in Accounting, Economics, Finance, or a related field; CPA, JD, or MST is highly preferred.
• Over 5 years of practical M&A/transaction tax experience, including client interaction and engagement management (experience with a Big 4 or national firm transaction tax practice is advantageous).
• Proficient technical knowledge of Sections 263(a), 382/383, 338, 280G, and 1060, along with familiarity with federal consolidated return concepts.
• Strong analytical, research, organizational, and project management skills; capable of managing multiple transactions in a deadline-oriented environment.
• Exceptional written and verbal communication abilities; skilled at translating technical concepts for deal teams, private equity sponsors, and client stakeholders.
• Proven leadership in managing people: training, supervising, and reviewing work for quality assurance.
