This is a fully remote position, open to applicants in United States.
• Conduct thorough federal and state tax due diligence on mergers and acquisitions transactions, which includes recognizing and quantifying historical tax liabilities related to income, sales and use, payroll, and unclaimed property.
• Evaluate target tax attributes and assess the implications of various transaction structuring options — encompassing Section 338(h)(10) and 336(e) elections, Section 382 limitations on net operating loss (NOL) utilization, basis step-ups, Section 704(c) built-in gain or loss allocations, and Section 751 hot asset considerations.
• Examine target tax profiles across different entity types, such as consolidated C corporation groups, S corporations, partnerships, LLCs, and pass-through structures.
• Prepare tax diligence reports, structuring memoranda, and step plans that are suitable for presentation to private equity deal teams, lenders, and legal advisors.
• Collaborate with internal and external workstream leaders — including those in financial due diligence, valuation, legal, and quality of earnings — to provide a comprehensive view of deal risk.
• Assist in transaction execution, which involves reviewing tax provisions in purchase agreements (representations, indemnities, tax matters, Section 338(h)(10) language) and planning for post-close integration.
• Oversee daily client communications regarding assigned workstreams and present findings directly to deal team leaders.
• Bachelor’s degree in Accounting, Finance, or a related field is required.
• An active CPA or evidence of progress toward completion is preferred; a JD may be accepted in place of a CPA for candidates with relevant tax experience.
• At least two years of progressive tax experience at a national or large regional CPA firm, focusing on M&A activities or preparing/reviewing federal and state returns for multi-state filers.
• Proficiency in modeling tax attributes and structuring outcomes in Excel, which includes NOL and credit utilization, basis calculations, and after-tax cash flow analysis.
• Excellent written communication skills, with the capacity to transform complex technical analyses into clear, client-ready documents.
