This is a fully remote position, open to applicants in United States.
• Oversee the daily operations of the equity plan in Carta, which includes grant processing, option exercises, cancellations, repurchases, and cap table management.
• Assess equity administration tools and spearhead the implementation of new solutions.
• Manage the monthly and quarterly reconciliations and reporting related to equity.
• Accurately and compliantly administer employee equity plan transactions, including any liquidity events the Company may provide, from planning to employee communication and settlement.
• Develop and enhance processes for equity plan transactions, particularly option exercises, ensuring both accuracy and compliance.
• Collaborate with Accounting, Tax, Legal, and Payroll to support the creation of equity plan tax policies and procedures.
• Design and document standard operating procedures and robust internal controls for all equity plan operations, including audit support.
• Oversee the 409A valuation process and its schedule in partnership with Legal and Accounting, considering its downstream effects on grants, exercises, and liquidity events.
• Lead the integration of HRIS and payroll systems to streamline equity plan operations and reduce manual reconciliation.
• Develop automated processes for tax withholding calculations and payroll integration, including withholding on liquidity events.
• Create scalable workflows to accommodate our expanding headcount over a multi-year private horizon.
• Coordinate equity plan tax calculations and ensure timely, accurate withholding and reporting with Payroll (including Forms 3921/3922 and W-2 treatment).
• Aid in the introduction of new instruments such as RSUs (including appropriate vesting design for a private company) as the program evolves.
• Provide comprehensive guidance and support to managers and employees on equity-related inquiries, assisting them in understanding their equity, from grants and vesting to exercises, secondaries, taxes, and payroll impacts.
• Manage the verification of equity-related information from non-employee shareholders, including but not limited to audit requests, shareholding confirmations, and 409A value verification.
• 8+ years of experience in equity plan administration, stock plan management, or a related field.
• Hands-on administrator-level experience with Carta; familiarity with Shareworks and other platforms is advantageous.
• Strong understanding of equity compensation principles and their tax implications, including stock options (ISOs and NSOs) and RSUs, along with the accounting treatment and execution experience of various private company liquidity events.
• Proficient in payroll systems integration and tax withholding procedures.
• A detail-oriented mindset with strong analytical and problem-solving abilities.
• Excellent communication skills, capable of consulting subject matter experts on specialized equity issues across legal, tax, accounting, and payroll, and conveying complex equity concepts to employees in straightforward language.
• Desired qualifications include a Certified Equity Professional (CEP) designation.
• Experience in a high-growth private company with a diverse shareholder base.
• Practical experience in administering private company liquidity events.
• Experience in evaluating various forms of employee equity, introducing new instruments, and managing them continuously post-introduction (e.g., evaluating and introducing RSUs to an options-focused employee equity program).
• Knowledge of US and international equity compensation and tax regulations.
• Familiarity with ASC 718 stock-based compensation and internal controls.
• Proven project management skills with a history of leading complex, cross-functional projects.
• Advanced skills in Excel/Google Sheets and experience with modeling.
