This is a fully remote position, open to applicants in Florida.

📋 Description

• Assist in managing the global legal entity structure, which includes formations, dissolutions, and governance documentation.

• Draft proxies, annual meeting minutes, and written consents/resolutions for subsidiaries and affiliates.

• Facilitate the approval and execution of corporate documents across various jurisdictions.

• Maintain corporate records, including the appointments of officers and directors.

• Act as a liaison for Legal, Tax, Controllership, and Treasury regarding entity governance issues.

• Support Business Development by providing information and documentation related to acquisitions and divestitures.

• Offer corporate entity information and necessary documentation for Legal Entity Reduction initiatives.

• Manage the Global Entity Management System (GEMS) and ensure the accuracy of legal entity data.

• Coordinate quarterly GEMS certification and outreach activities.

• Prepare certification materials and supporting documentation for SOX compliance and external audits.

• Assist Treasury with KYC, regulatory, and banking inquiries.

• Generate corporate documentation and certifications for banking, financing, and compliance needs.

• Address requests for entity information and produce GEMS-related reports.

• Aid in Corporate Governance and manage Board calendars, deliverables, deadlines, and recurring tasks.

• Organize and prepare for Board meetings, annual general meetings, and other Board-related events.

• Facilitate SEC filing logistics, Section 16 form preparation, and proxy statement/annual meeting organization.

• Administer insider trading windows and pre-clearance trading requests.

• Coordinate communication with Board members, including materials and director compensation issues.

• Maintain records pertaining to Board and Committee matters, such as minutes, agendas, materials, and communications.

• Bachelor's degree.

• Over 7 years of experience as a legal professional.

• Strong ability to collaborate and build relationships with stakeholder groups.

• Operate with a high degree of confidentiality and trust.
