Senior Legal Counsel – Business Partnering & Deal Execution, SaaS

This is a fully remote position, open to applicants in Germany.

📋 Description

• In the role of Senior Legal Counsel (m/f/d), you will serve as an operational partner for Sales and Management, playing a pivotal role in the rapid, scalable, and legally compliant execution of SaaS agreements.

• Your primary objective will be to enhance deal velocity, increase win rates, and ensure commercial scalability while maintaining a controlled risk profile.

• You will report directly to the Chief Financial Officer (CFO) and collaborate closely with Sales Leadership.

• Provide comprehensive support for SaaS agreements: legal oversight from tendering through contract negotiation to finalization.

• Shape deal strategies: offer active assistance, particularly for complex enterprise and key-account agreements.

• Negotiate and structure contracts: concentrate on commercial levers, expedite deals, and achieve high closure rates.

• Develop scalable contract standards: create and improve playbooks, fallback clauses, and CLM structures to speed up deal execution.

• Take ownership of commercial KPIs within the legal process: manage metrics such as deal cycle time, touchpoints, and closure rates.

• Manage risk and establish guardrails: actively oversee risk allocation and define clear decision-making parameters.

• Utilize Legal Tech & AI: harness modern tools to boost efficiency while ensuring corporate governance and proper management.

⛳️ Requirements

• Fully qualified lawyer (Volljurist), LL.M. or equivalent credentials.

• A minimum of 5 years of pertinent experience in private practice or as in-house counsel.

• Extensive background in negotiating commercial contracts, preferably within a SaaS/software context.

• Strong comprehension of sales processes and commercial drivers.

• Capability to manage legal risks in a pragmatic and business-focused manner.

• Exceptional negotiation and communication abilities along with a confident demeanor.

• Proficient in conveying complex legal topics clearly to executive levels.

• Structured and hands-on approach to work, with a preference for experience in Legal Tech/CLM.

• Fluent in German and English at a negotiation/business level.
