Senior Global Strategic Accounts Counsel

This is a fully remote position, open to applicants in United States.

📋 Description

• Manage customer negotiations, drafting, and deal oversight on a global scale for large, intricate commercial software, support services, and professional services transactions with enterprise clients across various sectors.

• Collaborate with sales leadership to synchronize business needs, oversee deal pipelines, and ensure adherence to established timelines.

• Maintain a comprehensive understanding of Delinea’s business strategy, products, and operations to provide effective legal guidance and oversight that advances strategic goals while ensuring compliance and risk management.

• Assist with additional commercial transactions and M&A integration efforts.

• Work with cross-functional teams to adequately address financial and operational factors.

• Collaborate with cybersecurity, regulatory, privacy, and compliance teams to effectively manage and advise on designated transactions.

• Identify and consistently report on key segment trends and factors that influence commercial and operational strategies.

• Promote awareness of legal compliance and risk management protocols.

• Contribute to and support ongoing improvement and process automation initiatives, including legal enablement, training, and guidelines delivery.

• Perform other duties and assignments to assist internal stakeholders and enhance processes for executing Delinea’s strategies.


⛳️ Requirements

• Juris Doctor (JD) degree from an accredited law school; must be admitted and in good standing with at least one state bar in the U.S.

• Over 15 years of legal experience in business and transactional law within the technology sector, with more than 10 years of direct experience managing and negotiating large, complex software, SaaS, and related technology sales transactions with global enterprise clients; prior in-house experience is essential, and experience with national or regional law firms is advantageous.

• Extensive experience in providing sound legal advice and successfully leading SaaS and software transaction negotiations to completion in an efficient manner.

• Proficiency in various commercial models within the technology sector, such as software licensing, SaaS, terms of use, enterprise agreements, evaluations and trials, professional services, strategic partnerships, and distributor/partner/alliance agreements.

• Strong working knowledge of global legal aspects relevant to B2B software licensing and SaaS, including international commercial laws, cross-border transactions, intellectual property rights, data privacy and security, and commercial rights and remedies.

• Excellent strategic thinking, analytical abilities, and meticulous attention to detail.

• Capability to work independently through challenges, assess risks and options, and make sound decisions even under uncertainty.

• Strong prioritization skills and the ability to work autonomously with urgency, agility, and the capacity to pivot seamlessly as needed.

• Proficiency in technology, including Microsoft Office 365 (Word, PowerPoint, Excel, Outlook, Teams); experience with cloud-based CLM platforms is beneficial.
