This is a fully remote position, open to applicants in California.
• Oversee compensation and equity-related initiatives for M&A transactions, collaborating closely with employment legal, HR, and other teams to negotiate and ensure alignment on essential deal documents, manage due diligence, and administer post-closing holdback arrangements, among other responsibilities.
• Provide guidance on compensation-related disclosures and corporate governance issues, particularly in relation to CrowdStrike’s proxy statement filings and the annual shareholder meeting.
• Manage legal workstreams associated with CrowdStrike’s equity plans, addressing ongoing plan maintenance, international expansion, and the crafting of performance award agreements.
• Lead the preparation and submission of registration statements on Form S-8 and support other filing initiatives as required.
• Offer counsel on insider trading compliance and oversee the review and administration of Rule 10b5-1 trading plans.
• Act as the primary legal contact for CrowdStrike’s stock administration function.
• Provide assistance with compensation design, administration, and compliance as needed.
• Juris Doctor (J.D.) degree and bar admission with 7-10 years of relevant experience at a prestigious law firm and/or in-house at a public company.
• Extensive technical expertise in executive compensation and global equity programs, along with associated M&A, disclosure, and compliance workstreams.
• Significant experience handling complex cross-border M&A transactions.
• A collaborative and proactive mindset, embodying a “no task too big or too small” approach.
• Excellent interpersonal skills, demonstrated ability to build strong working relationships, and drive alignment among diverse internal stakeholders with competing priorities.
• Exceptional organizational skills, capable of managing and prioritizing multiple high-stakes projects (e.g., M&A and proxy statement preparation) in a fast-paced, intense environment.
• Strong judgment and the ability to balance legal risks with business requirements.
• Outstanding communication and presentation skills, able to simplify complex concepts into clear, actionable guidance for various legal and non-legal stakeholders.
