This is a fully remote position, open to applicants in California.
• Offer specialized legal counsel and insights across a diverse array of corporate, commercial, and regulatory issues, encompassing fintech, cryptocurrency, and securities.
• Create, assess, and negotiate intricate contracts, such as partnership, licensing, employment, and vendor agreements.
• Provide guidance on adherence to US and international laws pertinent to the gaming, finance, and technology industries.
• Assist with mergers, acquisitions, and other strategic initiatives.
• Counsel on digital asset offerings, token frameworks, and blockchain products, including evaluating securities law implications under federal and state regulations.
• Keep track of and interpret developments from the SEC, CFTC, FinCEN, and state regulators that influence digital assets and payment systems.
• Work in collaboration with cross-functional teams to identify and address legal risks.
• Create and enforce policies, procedures, and training to maintain ongoing compliance.
• Act as a representative for Xsolla in legal proceedings, regulatory inquiries, and negotiations when necessary.
• Stay updated on relevant legislative changes and evaluate their impact on business operations.
• Mentor and provide support to junior members of the legal team.
• Juris Doctor (JD) degree from a recognized law school; active membership in good standing with the California State Bar.
• At least 7 years of pertinent legal experience, ideally in-house at a technology or gaming company, or with a leading law firm.
• Strong preference for candidates with litigation experience.
• Extensive knowledge of corporate, commercial, and regulatory law.
• Significant experience in advising on securities law matters, including SEC regulations, private placements, and investment company considerations.
• Proven expertise in fintech, payment processing, cryptocurrency, and digital asset legal frameworks.
• Proficient in negotiating and drafting complex commercial agreements.
• Strong business insight with the ability to balance legal risks against business goals.
• Exceptional written and verbal communication skills.
• Proven capacity to manage multiple priorities and work autonomously.
• High ethical standards and sound judgment.
• Experience in international legal matters and data privacy is an advantage.
• Familiarity with AML/KYC requirements and sanctions compliance is preferred.
• Solid understanding of Google Suite and Atlassian tools (Jira, Confluence, etc.).
