This is a fully remote position, open to applicants in United States.

📋 Description

• Prepare, assess, and negotiate a wide array of commercial contracts, emphasizing US Federal and SLED sectors, such as SaaS agreements, software licenses, Master Service Agreements (MSAs), hardware contracts, reseller and partner agreements, teaming arrangements, subcontracts, Other Transaction Authority (OTAs), Non-Disclosure Agreements (NDAs), professional services contracts, statements of work, and data processing agreements.

• Take the lead on intricate public sector technology transactions independently, aiding Armada’s federal, defense, state, local, and regulated industry sales initiatives by offering strategic legal counsel throughout the procurement and contracting process.

• Analyze RFPs, RFIs, RFQs, solicitations, statements of work, and proposal documentation to pinpoint legal, compliance, operational, and business risks.

• Provide guidance to internal stakeholders regarding adherence to FAR, DFARS, agency-specific supplements, flow-down provisions, public procurement standards, and best practices in government contracting.

• Collaborate closely with Sales, Capture, Revenue, Product, Engineering, Security, Finance, and Compliance teams to design and negotiate public sector deals that align with Armada’s corporate goals.

• Offer insights on matters relating to intellectual property rights, software licensing, data rights, cybersecurity responsibilities, export regulations, privacy laws, organizational conflicts of interest, and compliance with regulations.

• Assist with contracting activities that involve public sector resellers, systems integrators, channel partners, and subcontractors.

• Aid in the development and refinement of scalable legal templates, contracting playbooks, policies, and operational procedures to facilitate Armada’s expanding government business.

• Support post-award contract management, which includes contract interpretation, amendments, compliance obligations, audits, disputes, and issue resolution.

• Stay updated on changes in government procurement regulations, cybersecurity laws, AI governance, and public sector technology policies, proactively advising the business on their implications and opportunities.

• Efficiently manage external legal counsel and collaborate across functions to resolve intricate legal and operational challenges.

• Contribute broadly within the Legal team on commercial, compliance, and operational issues as Armada grows.

• Promote continuous enhancement in legal operations, contracting processes, and cross-functional collaboration to support business agility and scalable growth.


⛳️ Requirements

• Juris Doctor (J.D.) from an accredited law school and active membership in good standing with at least one U.S. state bar.

• Over 7 years of experience in supporting commercial transactions and/or government contract matters.

• Extensive experience in drafting and negotiating technology, SaaS, software licensing, or public sector commercial agreements.

• Strong understanding of U.S. government procurement laws and regulations, including FAR and DFARS.

• Experience in independently supporting public sector transactions involving federal, state, or local government clients.

• Proven ability to independently manage negotiations and handle complex transactions with minimal oversight.

• Strong business acumen and capacity to provide practical, balanced legal advice in fast-paced environments.

• Exceptional drafting, negotiation, analytical, and communication abilities.

• Capability to independently juggle multiple priorities and stakeholders at once.

• Team-oriented approach with strong skills in cross-functional collaboration.

• Interest in infrastructure, AI, cybersecurity, defense technology, cloud computing, or emerging technology sectors.
