Senior Commercial Counsel

This is a fully remote position, open to applicants in Texas.

📋 Description

• Identify and oversee legal risks associated with commercial transactions, clearly highlighting issues and providing practical solutions instead of merely outlining problems.

• Draft, evaluate, and negotiate a substantial volume of diverse commercial contracts, including but not limited to EPC agreements, equipment purchase and supply contracts, power purchase agreements, land licenses, and vendor/service agreements.

• Act as a strategic legal advisor to the business development, procurement, construction, and finance teams — delivering actionable, deal-oriented guidance under tight deadlines.

• Develop and sustain Giga’s contract templates, playbooks, and standard terms to facilitate quicker and more consistent business operations.

• Assist with financing and real estate transactions as necessary, including the review of lease agreements, easements, and financing documents.

• Oversee relationships with outside counsel on commercial issues, including defining project scope, managing expenditures, and ensuring quality deliverables.

• Contribute to the establishment of legal processes and infrastructure as Giga grows, encompassing contract management systems and internal workflows.

• Remain updated on legal trends pertinent to energy infrastructure, construction, and AI data center development.

⛳️ Requirements

• JD from an accredited law school and active bar admission in at least one U.S. jurisdiction.

• A minimum of 4 years of experience in commercial transactions, whether in a law firm or corporate setting.

• Proven track record of negotiating complex commercial contracts, preferably in construction, energy, real estate, or infrastructure sectors.

• Ability to work autonomously with strong ownership — you proactively identify and address what needs to be done next.

• Excellent written and verbal communication skills, with the capability to simplify legal complexities into straightforward business terms.
