Senior Associate, M&A Tax Advisory

This is a fully remote position, open to applicants in North Carolina, +2 more states.

📋 Description

• Support buy-side and sell-side tax due diligence for M&A transactions by examining historical tax filings, workpapers, and financial statements, while identifying and quantifying tax exposures related to income, sales/use, payroll, property, and unclaimed property.

• Develop call agendas for tax due diligence meetings with the management of the target company.

• Aid in evaluating tax attributes, including NOLs and credits, considering any limitations under Section 382/383.

• Compose tax due diligence reports and executive summaries that clearly, concisely, and articulately present key findings, risks, and structuring considerations.

• Perform targeted tax research on technical matters and transaction-specific fact patterns.

• Lead and support segments of tax due diligence discussions with target management.

• Collaborate with other members of the Elliott Davis team, including FDD and tax subject matter experts.


⛳️ Requirements

• A Bachelor’s degree in accounting or finance from an accredited college/university is required.

• A Master’s in Taxation, or a JD in tax and/or LLM is preferred.

• Two to four years of tax due diligence experience in public accounting, Big 4, an advisory firm, or a similar environment.

• A solid understanding of US federal and state income tax principles relevant to M&A transactions.

• Experience in reviewing tax returns, financial statements, and supporting schedules.

• Strong analytical abilities, organizational skills, and written communication proficiency.

• Proficiency in Excel and familiarity with common tax research tools.

• CPA, JD, or progress toward certification is preferred.
