Senior Associate, M&A Tax Advisory

This is a fully remote position, open to applicants in North Carolina, +2 more states.

📋 Description

• Support buy-side and sell-side tax due diligence for M&A transactions, which includes reviewing historical tax filings, workpapers, and financial statements, as well as identifying and quantifying tax exposures related to income, sales/use, payroll, property, and unclaimed property.

• Develop call agendas for tax due diligence discussions with target management.

• Aid in evaluating tax attributes, such as NOLs and credits, while considering any limitations under Section 382/383.

• Draft tax due diligence reports and executive summaries that clearly and concisely present key findings, risks, and structuring considerations.

• Perform targeted tax research on technical matters and transaction-specific scenarios.

• Facilitate and participate in segments of tax due diligence meetings with target management.

• Collaborate with fellow Elliott Davis team members, including FDD and tax subject matter experts.

⛳️ Requirements

• A Bachelor’s degree in accounting or finance from an accredited college/university is required.

• A Master’s in Taxation, JD in tax, and/or LLM is preferred.

• Two to four years of experience in tax due diligence within public accounting, Big 4, advisory firms, or similar settings.

• A strong understanding of US federal and state income tax principles relevant to M&A transactions.

• Experience in reviewing tax returns, financial statements, and supporting schedules.

• Excellent analytical, organizational, and written communication abilities.

• Proficiency in Excel and commonly used tax research tools.

• CPA, JD, or progress towards certification is preferred.
