This is a fully remote position, open to applicants in Ohio.
• Providing guidance on securities legislation and corporate governance matters.
• Drafting and reviewing SEC submissions, such as Forms 10-K, 10-Q, 8-K, Section 16 filings, registration statements, proxy statements, and other regulatory disclosures.
• Offering legal assistance for capital market transactions and bank credit agreements.
• Ensuring that public disclosures (e.g., press releases) comply with SEC and other regulatory standards.
• Administering the company’s insider trading policy and 10b5-1 trading plans.
• Supervising public company responsibilities including planning for annual shareholder meetings, director and officer questionnaires, related party transactions, and compliance calendars.
• Assisting with board and committee activities, which include preparing materials, drafting minutes, and revising charters and policies.
• Advising on best practices in corporate governance, shareholder engagement, and proxy advisor considerations.
• Maintaining and updating governance documents, policies, and internal guidelines.
• Supporting global entity management and corporate secretarial duties.
• Collaborating across functions with finance, treasury, corporate accounting, investor relations, internal audit, and communications.
• Leading or contributing to special projects and initiatives as assigned.
• Juris Doctor (JD) from an ABA-accredited law school.
• Active membership in good standing with at least one U.S. state bar.
• 3–8 years of pertinent legal experience, with a solid emphasis on securities, corporate governance, and capital markets—acquired at a top-tier law firm and/or in-house at a public company.
• Proven experience in preparing and reviewing SEC filings and public disclosures.
• Knowledge of public company legal operations, including board support and planning of shareholder meetings.
• Proficient in general corporate legal drafting (e.g., resolutions, consents, minutes, charters, bylaws).
• Strong understanding of changing legal and regulatory trends, market developments, and governance practices.
• Outstanding written and verbal communication skills.
• Highly organized, detail-oriented, and self-driven.
• Demonstrated capability to work both independently and collaboratively across teams.
• Strong interpersonal skills and business acumen.
• Ability to manage several priorities in a dynamic environment.
• Trusted to handle confidential and sensitive information with discretion.
• Experience with electronic board portals (e.g., Diligent, Boardvantage), document management systems, and SEC reporting tools (e.g., EDGAR).
