Legal Counsel

This is a fully remote position, open to applicants in Canada.

📋 Description

• This position is designed to enhance the Legal function throughout the Americas by effectively reviewing, drafting, and negotiating commercial contracts governed by U.S. law.

• Manage daily contract execution, standard negotiation processes, and documentation related to data protection.

• Review, draft, and negotiate commercial agreements, with a particular emphasis on: • Service agreements, statements of work, and amendments • Data processing agreements and privacy-related terms • NDAs and other commercial documentation.

• Assist in negotiations with clients from the U.S. and internationally, primarily within the Americas.

• Recognize legal and commercial risks and suggest practical, business-focused solutions.

• Collaborate with internal teams (commercial, compliance, operations, IT/security) to facilitate deal execution.

• Contribute to the ongoing enhancement of contract templates, standard positions, and internal processes.

⛳️ Requirements

• A law degree or equivalent legal qualification, or substantial experience as a senior paralegal in a commercial/legal contracts position.

• Strong experience in reviewing and negotiating commercial contracts governed by U.S. law.

• Familiarity with: • Service agreements and SOW structures • Data protection concepts (including DPAs and fundamental U.S./international privacy frameworks)

• Experience with contracts throughout the Americas region (U.S., Latin America, cross-border matters) is a significant advantage.

• Comfortable utilizing contract management systems, collaboration platforms, and AI-assisted legal tools.

• Exceptional written and spoken English skills.
