Legal Counsel

This is a fully remote position, open to applicants in Illinois.

📋 Description

• Act as the primary legal counsel for new sales transactions, encompassing the drafting and negotiation of software license agreements, consulting agreements, SaaS agreements, and various commercial contracts;

• Lead Business Operations meetings and collaborate with IFS Softeon’s business teams, delivering accurate and timely legal guidance with integrity and responsibility, particularly for Sales, Services, Finance, Marketing, and Partner teams;

• Take the lead on legal operations, focusing on enhancing legal processes and procedures, along with developing standard contract terms;

• Function as the primary attorney for corporate governance issues and provide essential legal support for audit, tax/treasury, HR/employment relations disputes, and real estate matters (leases, construction, etc.);

• Work in tandem with the wider IFS Softeon legal team by sharing insights, assisting colleagues, and contributing to legal newsletters and training as directed by the CFO of IFS Softeon and the Legal Team;

• Assist with global legal projects as assigned by the CFO and the Legal Team, coordinating with outside counsel as needed;

• Stay informed about changes in laws and regulations, maintaining extensive industry knowledge; perform additional tasks as assigned or delegated by the General Counsel.

⛳️ Requirements

• Juris Doctor degree from an ABA-accredited law school

• At least 3 years of commercial transactional experience at a law firm and/or in an in-house legal department

• Licensed and in good standing to practice law in one or more states

• Proficient in drafting and negotiating commercial contracts

• Exceptional attention to detail with a proven ability to manage competing demands in a dynamic environment

• Capable of working independently and exercising sound judgment to make real-time decisions in uncertain situations

• Strong interpersonal, written and verbal communication, and organizational skills

• Interest in functioning as a legal generalist
