This is a fully remote position, open to applicants in France.
• Act as the primary attorney overseeing all commercial transactions, which includes drafting and negotiating software license agreements, consulting agreements, SaaS agreements, and various other commercial contracts, with the authority to approve deal terms within the designated delegation limits;
• Lead Biz Ops discussions and serve as a trusted advisor to the executive and business teams of IFS Softeon, offering accurate and timely legal guidance with integrity and accountability, particularly to Sales, Services, Finance, Marketing, and Partner teams;
• Oversee legal operations for IFS Softeon, focusing on enhancing legal processes and procedures, formulating standard contract terms, and creating a scalable legal infrastructure for the business unit;
• Manage all corporate governance issues for IFS Softeon, ensuring corporate separation and adherence to proper entity formalities during the integration phase, while providing primary legal support for audit, tax/treasury, HR/employment relations disputes, and real estate matters (leases, construction, etc.);
• Lead the legal efforts for post-acquisition integration, which involves reviewing and addressing legacy customer contracts with unlimited liability exposure and advising on entity structure decisions in collaboration with the DGC – M&A;
• Collaborate with the wider IFS legal team by sharing expertise, coordinating on cross-entity issues, and contributing to legal newsletters and training as directed by the CFO/CRO of IFS Softeon DGC – M&A;
• Assist with global legal projects as assigned by the CFO/CRO of Softeon and the DGC – M&A, while managing relationships with external counsel;
• Stay informed on changes in laws and regulations and maintain extensive industry knowledge; perform other tasks as assigned or delegated by the CFO/CRO of Softeon and the DGC – M&A.
• Juris Doctor degree from a law school accredited by the ABA
• At least 5 years of experience in commercial transactions within a law firm and/or an in-house legal department
• Licensed and in good standing to practice law in one or more states
• Proven experience in drafting and negotiating commercial contracts
• Strong attention to detail and a demonstrated ability to prioritize competing demands in a dynamic environment
• Capability to work independently and exercise sound judgment to make real-time decisions in ambiguous circumstances
• Excellent interpersonal, written and verbal communication, and organizational abilities
• Proven track record of functioning as a legal generalist across various disciplines
