This is a fully remote position, open to applicants in United States.
• Create realistic deal scenarios grounded in transactional practices, encompassing M&A due diligence, SPAs/APAs, securities filings, NDAs, governance, and disclosure schedules.
• Compose “gold standard” responses with attorney-level quality to assist in the training of AI models.
• Assess and score AI-generated outputs utilizing structured rubrics alongside legal and commercial standards.
• Deliver comprehensive written feedback aimed at enhancing model accuracy, reasoning, and consistency.
• Engage in onboarding sessions, office hours, and specialized calibration discussions.
• 1–4 years of professional experience in transactional or corporate law, whether in a law firm, in-house, or a comparable setting.
• Possess a J.D. (U.S./Canada) or LL.B./LL.M. (U.K.) from an accredited institution.
• Licensed to practice law in the United States, Canada, or the United Kingdom (either active or inactive status).
• Demonstrated strong experience in contract review, due diligence, corporate governance, NDA drafting, or securities filings.
• Exceptional written communication abilities with a keen eye for detail.
• Experience in preparing disclosure schedules or managing closing checklists.
• Background in private equity, venture capital, or fund formation work.
• Knowledge of SEC reporting or securities offerings.
• Familiarity with virtual data rooms (e.g., Intralinks, Datasite).
