This is a fully remote position, open to applicants in Texas.

📋 Description

• Act as a reliable advisor to the CEO and leadership team; engage in strategic planning, deal structuring, and discussions on business development.

• Offer practical legal insights across commercial, operational, and organizational matters; assist leadership in balancing risk, agility, and business goals.

• Aid in developing scalable legal and governance processes as the organization expands.

• Manage the complete lifecycle of commercial contracts, which include enterprise SaaS agreements, data center services agreements, vendor contracts, NDAs, subcontractor agreements, and tailored deal structures.

• Recognize legal and operational risks within complex commercial relationships.

• Support evolving partnerships in AI, infrastructure, software, and public-sector initiatives.

• Oversee and lead legal activities related to ground leases, commercial leases, land acquisition, title review, easements, and real estate transactions connected to data center site development, including our RELLIS campus projects.

• Navigate through university, state entity, and government procurement frameworks; structure agreements that meet both institutional requirements and business objectives.

• Provide counsel on employment-related issues, internal policies, and organizational risk.

• Assist in ISO-aligned operational and compliance initiatives.

• Collaborate with leadership on governance, documentation, and internal controls.

• Develop and maintain our compliance posture in areas such as data privacy (GDPR, CCPA, HIPAA awareness), AI and technology regulatory compliance, and employment law; identify risks before they escalate.

• Evaluate the legal and compliance implications of AI and software implementations; liaise with technical and operational teams on emerging risk areas.

• Create scalable legal processes, document templates, external counsel relationships, and internal policies; establish the function from the ground up.

• Acquire a thorough understanding of our products to accurately translate concepts related to AI, data centers, and cloud infrastructure into precise legal terms.

• Help foster a proactive approach to enterprise risk management; pinpoint areas where legal frameworks, processes, or policies can minimize operational exposure.

• Contribute to the organization's long-term growth as legal and compliance requirements evolve.


⛳️ Requirements

• Active Texas Bar License; must be licensed and in good standing to practice law in Texas.

• Texas Residency; must reside in Texas (the role is remote-first, but a Texas presence is necessary). Some travel to data center locations and university campuses will be expected.

• 5–8 years of experience in a mix of law firm and/or in-house legal positions.

• Proven ability to independently draft and negotiate complex commercial agreements, including enterprise SaaS agreements, service agreements, vendor contracts, and NDAs.

• Experience with ground leases, commercial leases, land acquisition, title review, easements, or similar real estate transactions.

• Familiarity with working alongside State of Texas agencies, higher education institutions, or regulated/public-sector environments, including frameworks for university, public entity, or government contracts.

• Working knowledge of GDPR, CCPA, and HIPAA frameworks; capability to advise on AI/technology regulatory matters and basic employment law.

• Ability to comprehend AI, data center, and cloud infrastructure sufficiently to engage effectively with engineering and operations teams and translate concepts into legal language.

• Understanding of data privacy, PII, and security-related legal considerations; ability to coordinate efforts on operational safeguards.

• Capacity to function independently without a legal team during the initial phase.

• Comfort in dynamic environments where structures are still being formulated and ability to provide clear, actionable guidance without introducing unnecessary operational friction.
