Independent Director – Finance

This is a fully remote position, open to applicants in India.

📋 Description

• Exercise independent judgment during board discussions concerning strategy, performance, resource allocation, growth, and risk management.

• Ensure that the Board maintains suitable governance frameworks, including board committee structures (such as audit and risk) and charters, while fulfilling the responsibilities of independent directors.

• Foster transparency and accountability by ensuring that financial, governance, and risk disclosures are suitable and that stakeholder interests, including those of minority shareholders, are safeguarded.

• Supervise and critically assess financial performance, budgets, forecasts, cash flow management, capital structure decisions, funding strategies, and financial risk exposure.

• Manage the enterprise-wide risk management framework, ensuring that strategic, operational, financial, compliance, and reputational risks are identified, evaluated, mitigated, and monitored.

• Guarantee adherence to applicable laws and regulations, including corporate law, financial reporting, industry-specific guidelines, and data/privacy regulations.

⛳️ Requirements

• Established board-level or senior leadership experience, preferably in finance, corporate governance, risk management, or closely related fields.

• Profound knowledge of financial statements, internal controls, audit processes, budgeting, capital structure, financing options, and financial risk management.

• Proven experience in governance, compliance, risk oversight, and a strong business acumen, particularly in growth or scale-up contexts.

• Exceptional communication and stakeholder management skills, with the ability to engage effectively with investors, board members, senior management, supply chain partners, and regulators.

• Familiarity with the Indian corporate legal and regulatory landscape, including but not limited to the Companies Act, 2013, audit committee requirements, and risk management obligations.
