This is a fully remote position, open to applicants in Egypt.
• Formulate and execute the legal strategy of the company to ensure alignment with business goals and global regulatory standards.
• Offer strategic legal counsel to senior leadership, especially in relation to IPO considerations and corporate governance issues.
• Supervise corporate governance practices, ensuring adherence to international laws, regulations, and corporate policies.
• Keep track of changes in governance standards and suggest necessary modifications to internal practices.
• Remain updated on regulatory developments and guarantee the company's compliance with pertinent laws and regulations across multiple jurisdictions.
• Establish and uphold compliance programs to minimize legal risks associated with IPO processes and ongoing operations.
• Lead negotiations for contracts with senior stakeholders, ensuring favorable terms and effective risk management.
• Work collaboratively with internal teams to create contract strategies that meet business objectives and legal standards.
• Facilitate the IPO process by coordinating efforts with external advisors, regulatory agencies, and internal stakeholders.
• Ensure adherence to IPO requirements and accurately manage legal documentation and filings.
• Supervise the management and protection of the company's global intellectual property portfolio.
• Develop strategies to protect intellectual property rights and enforce legal protections as required.
• Maintain precise corporate records and documentation, including board meeting minutes, shareholder agreements, and regulatory filings.
• Ensure compliance with record-keeping standards and assist with audits related to IPO processes.
• Create and implement crisis management plans to effectively address legal and reputational risks.
• Manage disputes and litigation matters, overseeing external counsel and representing the company in legal proceedings as necessary.
• Bachelor's degree in Law or a related discipline is mandatory; a Master's degree or Juris Doctor (JD) is preferred.
• Over 10 years of experience in legal and corporate affairs, preferably within a small to medium-sized tech business.
• Strong leadership and management capabilities, with the ability to inspire and motivate a team.
• Exceptional communication and interpersonal skills, with the capacity to collaborate effectively with stakeholders.
• A strategic thinker with an analytical mindset, capable of identifying legal risks and formulating proactive solutions.
• Commitment to integrity and professionalism, with a focus on ethical conduct and compliance.
• Comprehensive knowledge of corporate law, commercial law, and regulatory compliance across various jurisdictions.
• Experience managing corporate governance practices and overseeing complex corporate transactions.
• Expertise in contract negotiation and drafting, with a proven history of successful negotiations with senior stakeholders.
• Familiarity with IPO processes and requirements, including legal documentation and regulatory filings.
• Strong understanding of intellectual property law and effective methods for safeguarding intellectual property rights globally.
