This is a fully remote position, open to applicants in Texas.
• Evaluate agreements with customers, vendors, partners, and procurement to identify legal, financial, operational, and compliance risks.
• Provide guidance to internal stakeholders on contract structure, liability, indemnification, intellectual property, privacy, and various legal considerations.
• Create and maintain contract templates, legal standards, and approval workflows.
• Ensure that agreements are in line with company policies, risk tolerance, and strategic goals.
• Assess proposed changes to contracts and offer insights on legal ramifications.
• Enhance and maintain the overall contracting framework of the organization.
• Act as the primary legal advisor for the executive leadership team.
• Assist with mergers, acquisitions, asset purchases, and other corporate transactions.
• Facilitate corporate filings, entity management, and governance requirements.
• Formulate internal policies and procedures to promote organizational growth and compliance.
• Counsel operations and leadership on employment-related issues, which include hiring, performance management, investigations, disciplinary actions, terminations, and workforce planning.
• Offer guidance on employee and independent contractor classification, wage and hour compliance, leave requirements, and multi-state employment regulations.
• Review and support employment contracts, separation agreements, contractor agreements, and workplace policies.
• Collaborate with People Operations to identify and mitigate risks related to employment.
• Keep abreast of legal developments affecting remote workforces and ensure compliance across jurisdictions.
• Assist with responses to unemployment claims, worker classification inquiries, labor agency investigations, and related regulatory matters.
• Monitor legal and regulatory changes that could impact the organization.
• Advise on privacy, data protection, consumer protection, and other compliance issues.
• Develop effective compliance processes and internal controls.
• Support responses to government inquiries, regulatory issues, and legal disputes.
• Advise leadership on the legal implications of operational, financial, and strategic choices.
• Assist with acquisitions, integrations, and corporate restructuring initiatives.
• Provide guidance on insurance claims, disputes, demand letters, and potential litigation.
• Aid in responding to government inquiries, audits, and regulatory matters.
• Assess legal risks linked to new products, partnerships, vendors, and business initiatives.
• Develop practical policies and procedures that facilitate organizational growth while ensuring compliance.
• Manage relationships with external counsel and specialized legal advisors.
• Identify when specialized expertise is necessary and coordinate legal tasks accordingly.
• Oversee legal expenditures and ensure efficient utilization of external resources.
• Advise on legal and compliance matters related to voter engagement, voter registration, political communications, election administration, and campaign activities.
• Stay updated on legal and regulatory changes impacting election-related programs and civic technology.
• Evaluate legal risks associated with election, campaign, and voter outreach initiatives.
• Collaborate with specialized election counsel as needed.
• Juris Doctor (JD) from an accredited law institution.
• Active bar membership in good standing.
• Over 8 years of legal experience, with significant expertise in business law, corporate law, employment law, or commercial contracting.
• Strong grasp of contract review, risk assessment, corporate governance, and employment law.
• Experience providing legal advice to senior leadership on business matters.
• Exceptional written and verbal communication abilities.
• Capacity to balance legal risks with practical business requirements.
