This is a fully remote position, open to applicants in Massachusetts.
• Design and implement both public and private M&A transactions on a global scale, encompassing acquisitions, divestitures, joint ventures, and strategic minority investments.
• Oversee cross-functional due diligence efforts and pinpoint significant legal, operational, and regulatory risks.
• Lead the negotiation of Letters of Intent (LOIs), Non-Disclosure Agreements (NDAs), purchase contracts, transition services agreements, and other related transaction documentation.
• Manage external legal counsel to ensure efficient execution, cost-effectiveness, and alignment with strategic goals.
• Provide guidance to Corporate Development and executive leadership regarding deal strategies, risk distribution, structural options, regulatory issues, and implications for integration.
• Collaborate with Finance, Tax, HR, Compliance, and segment leaders on transaction structuring, working capital considerations, indemnities, compliance of target companies, and effects on integration.
• Assist in subsidiary governance, global entity management, delegated authorities, treasury and financing operations, investor communications, and activities related to ESG and sustainability.
• Enhance M&A playbooks, templates, and processes for improved efficiency.
• Mentor junior attorneys and bolster the organizational capabilities in M&A.
• Juris Doctor (J.D.) degree required.
• Must hold an active bar membership in the United States or the United Kingdom.
• Over 10 years of experience in leading intricate M&A transactions at a prestigious law firm (AmLaw 100) and/or within a global corporate legal department (Fortune 500).
• Profound knowledge in corporate law, cross-border public and/or private M&A, and negotiation of complex transactions.
• Experience advising senior executives on critical matters.
• Proven ability to manage multiple concurrent transactions and workstreams effectively.
• Familiarity with global regulatory evaluations, including antitrust and industry-specific regulations.
