This is a fully remote position, open to applicants in California.
• Provide guidance to the Company on a variety of corporate and securities issues.
• Assist in fulfilling public company reporting requirements, including the preparation of necessary corporate and securities filings.
• Aid in the creation of corporate governance documents such as board resolutions and stockholder-related materials.
• Collaborate with the Company’s Finance team on matters related to equity incentive plans.
• Review and/or draft corporate and commercial agreements, both inbound and outbound.
• Offer legal counsel regarding new business ventures and product initiatives.
• Work in conjunction with other members of the Legal team to support various projects.
• Engage directly with business partners to comprehend their needs, objectives, and potential risks.
• Coordinate with outside counsel as necessary or appropriate.
• Stay informed about significant developments in relevant securities laws, regulatory requirements, and market practices.
• Acquire knowledge in new subject areas and take charge of functions or projects as required.
• 3-6 years of relevant experience, including at least 2 years at a prominent national law firm. Prior in-house experience is beneficial but not essential.
• Previous experience with public company filings, reporting obligations, and governance processes.
• Understanding of a variety of general corporate, securities, and commercial transactional matters.
• Familiarity with privacy issues is advantageous, though not mandatory.
• Experience advising clients in regulated financial industries and/or familiarity with relevant legal and regulatory frameworks is helpful, but not required (e.g., investment adviser, broker-dealer, mortgage, banking, money transmitter).
• Previous experience reviewing marketing or sales materials is beneficial but not a necessity.
• Ability to thrive in a fast-paced, collaborative environment.
• Strong attention to detail and effective follow-through skills.
• Capable of identifying and analyzing complex legal issues, evaluating relative risks, and providing clear recommendations.
• Proficient in spotting and addressing cross-functional legal issues.
• Able to provide guidance to business partners at all levels, both executive and non-executive.
• Excellent drafting, writing, and communication skills.
• Willingness to take ownership of various projects based on team and business needs.
• Openness to learning about applicable regulatory schemes if unfamiliar.
• Active California Bar membership or eligibility to practice as California Registered In-House Counsel.
• Strong interest in Wealthfront, its products, and the fintech sector in general.
