This is a fully remote position, open to applicants in New Jersey.
• Review and assess Master Service Agreements, Professional Services Agreements, Purchase Orders, Statements of Work, client terms and conditions, subconsultant agreements, and revisions requested by clients.
• Create comprehensive contract redlines that include additions, deletions, modifications, and suggestions for alternative language.
• Document negotiation stances and articulate contractual risks, business impacts, suggested revisions, as well as legal and commercial justifications.
• Engage directly with clients concerning contractual modifications.
• Take part in calls and meetings focused on contract negotiations.
• Clarify Pure Power's contract positions and proposed changes.
• Aid in resolving contract-related issues to arrive at mutually agreeable solutions.
• Oversee agreements through the entirety of the contract lifecycle.
• Manage internal review and approval processes effectively.
• Maintain a record of negotiations and revisions history.
• Ensure that agreements are executed by all parties involved.
• Keep precise contract documentation and version control.
• Identify and assess contractual risks associated with indemnification, liability limitations, standards of care, warranties, guarantees, damages, intellectual property, change management, scope creep, scheduling, and delay obligations.
• Propose revisions that align with Pure Power's business goals and risk management protocols.
• Collaborate with teams in Operations, Sales, Project Management, and Engineering Leadership.
• Assist in developing contract templates, standard clause libraries, negotiation playbooks, and procedures for contract review.
• Undertake additional tasks as assigned.
• A minimum of 7 years of experience in reviewing and negotiating commercial contracts.
• An associate degree in a related field is required.
• Proven experience in redlining and negotiating MSAs, Professional Services Agreements, Purchase Orders, Statements of Work, and client commercial terms and conditions.
• Strong comprehension of contract structures, risk distribution, and commercial negotiations.
• Outstanding written and verbal communication abilities.
• Capability to work autonomously with minimal supervision.
• Availability to work 16–25 hours per week.
• Paralegal certification and/or significant experience in contract management is preferred.
• Previous experience as an attorney or retired attorney is advantageous.
• Background in supporting professional services organizations is preferred.
• Experience with engineering, architecture, consulting, or design firms is beneficial.
• Familiarity with the construction, EPC, energy, or renewable energy sectors is preferred.
• Ability to identify when contract language improperly transfers contractor-level risk to a professional services provider.
