Consultant – Employee Share Schemes Solicitor

This is a fully remote position, open to applicants in United Kingdom.

📋 Description

• Lead a diverse range of employee share schemes and equity incentive initiatives.

• Assist businesses in the design, implementation, and ongoing management of their share plans.

• Collaborate closely with founders, senior leadership teams, HR departments, and in-house legal counsel.

• Provide clear and pragmatic advice that promotes business growth while ensuring compliance and effective structuring of schemes.

• Offer guidance on subjects such as EMI share option schemes, CSOP, and unapproved share option schemes.

• Draft option agreements, plan rules, and associated documentation.

• Advise on tax implications related to share schemes.

• Support founders and boards in equity structuring and incentive strategy development.

• Work in partnership with colleagues across Corporate and Employment.

⛳️ Requirements

• At least 8 years' PQE with substantial experience in employee share schemes and equity incentives.

• Proven experience in designing and implementing EMI schemes and other share option structures.

• Experience advising founder-led companies, start-ups, and scale-ups is a plus.

• Ability to manage matters autonomously and provide pragmatic, commercially oriented advice.

• Strong drafting abilities and meticulous attention to detail.

• Excellent skills in client relationship management and stakeholder engagement.

• Confidence in working with founders, leadership teams, and in-house legal departments.
