Commercial Counsel

📋 Description

• Draft and negotiate innovative strategic partnership agreements and other high-value transactions.

• Assist business clients in creating entirely new types of contractual frameworks.

• Provide guidance to fast-paced business clients on a variety of rapidly evolving partnership models, including channel partnerships (product distribution), platform partnerships, fintech collaborations, and professional services.

• Become a trusted advisor to business clients and a key driver of value through the drafting, negotiation, and finalization of commercial contracts.

• Produce documents, engage with clients, and draft contracts in straightforward, plain English (avoiding legal jargon).

• Efficiently collect and integrate feedback from relevant cross-functional teams to ensure new go-to-market strategies are both feasible and scalable.

• Create and update template documents, playbooks, training resources, and other shared materials.

• Provide support for enterprise procurement and sales commercial contracting as required.

• Collaborate effectively with partner teams across Stripe, including Product Legal, Privacy Legal, Procurement, and Third Party Risk Management.

• Oversee external legal counsel.


⛳️ Requirements

• 5+ years of in-house legal experience supporting go-to-market and product teams as a commercial lawyer within a technology company, including structuring and negotiating product distribution and partnership agreements with enterprises.

• Strong comprehension of revenue-sharing contract terms and reporting mechanisms, channel partnership distribution, and both buy-side and sell-side SaaS.

• Familiarity with global data privacy and security considerations in technology transactions, informing an understanding of unique data flows and how to formulate tailored privacy legal terms (including Controller-to-Controller and Processor-to-Processor data flows).

• Exceptional written and verbal communication skills, with proficiency in collaborating effectively with cross-functional colleagues.

• A strong sense of ownership and a proactive approach to tackling tasks with enthusiasm and resourcefulness. Eager to engage with business clients and address complex challenges. Capable of prioritizing and advancing multiple concurrent deals, often under tight deadlines.

• Good judgment and the ability to make sound decisions in uncertain situations with incomplete information.

• Humility, curiosity about the evolving payments industry, and a great sense of humor.

• In-house experience advising a high-growth company.

• Experience in supporting channel sales and strategic partnerships within an enterprise technology firm.
