This is a fully remote position, open to applicants in United States.

📋 Description

• Oversee and finalize a range of intricate commercial agreements, including sales contracts, inbound procurement engagements with suppliers, master service agreements, DPAs, AI addendums, NDAs, Statements of Work, and Order Forms.

• Recognize contractual risks and propose alternatives that lead to optimal outcomes.

• Evaluate and provide guidance on matters related to AI, technology development, SaaS licensing, strategic sourcing, software integrations, partnerships, and general commercial contracting.

• Collaborate across various internal business teams, such as Deal Desk, Sales, Procurement, Product, and Finance, to ensure that contractual terms align with legal, regulatory, and company policies and risk standards.

• Offer tactical and strategic counsel to business and product leaders concerning commercial transactions.


⛳️ Requirements

• 3-5+ years of experience in negotiating SaaS, software licensing, and commercial contracts, including master subscription agreements, DPAs, AI documentation, NDAs, and vendor contracts.

• J.D. degree from an accredited law institution.

• Active membership in a United States bar or otherwise qualified to serve as registered in-house counsel under California’s multi-jurisdictional practice program.

• Exceptional analytical, communication, organizational, negotiation, and drafting skills, along with experience negotiating complex IP and data privacy terms with enterprise clients.

• Strong legal and business judgment, critical thinking abilities, and the capacity to manage multiple matters concurrently.

• Intelligent, independent thinker with an adaptable and flexible mindset.

• Detail-oriented and enjoys managing projects from start to finish.

• Capability to grasp complex contractual issues, evaluate risks, and deliver pragmatic, business-oriented recommendations to all management levels.

• Experience collaborating with enterprise-level Sales teams to meet end-of-quarter deadlines.

• Familiarity with cloud-based business models and the contracting frameworks that support such business models.
