This is a fully remote position, open to applicants in Illinois, +1 more state.
β’ Draft, evaluate, and negotiate SaaS agreements, Master Service Agreements (MSAs), order forms, statements of work, amendments, renewals, data processing agreements, Business Associate Agreements (BAAs) where applicable, vendor agreements, Non-Disclosure Agreements (NDAs), and other commercial contracts.
β’ Act as a key legal partner to the Sales, Revenue, and Client Services teams, providing practical advice that facilitates deal progression while effectively managing risk.
β’ Lead or assist in negotiations with customer legal, procurement, privacy, security, and business stakeholders, especially for enterprise and strategic SaaS transactions.
β’ Offer guidance to internal teams regarding contract terms related to liability, indemnification, warranties, service levels, termination rights, payment terms, data usage, confidentiality, privacy, security, artificial intelligence, and intellectual property.
β’ Collaborate with internal stakeholders to evaluate privacy, cybersecurity, data protection, AI-related, and intellectual property provisions in customer, partner, and vendor contracts.
β’ Aid in the maintenance and enhancement of contract templates, fallback positions, negotiation playbooks, approval workflows, and other legal processes that promote scalable deal velocity.
β’ Assist with contract intake, review, negotiation, execution, renewal, and post-signature interpretation in conjunction with sales and business stakeholders.
β’ Work closely with Sales, Legal, Finance, and other stakeholders to ensure commercial agreements align with business needs and operational realities.
β’ J.D. from an accredited law school and active membership in at least one U.S. state bar.
β’ Demonstrated experience in drafting and negotiating SaaS, software licensing, technology services, enterprise customer, vendor, and partnership agreements.
β’ Experience collaborating closely with Sales, Revenue, Customer Success, Deal Desk, Finance, and Security teams to facilitate commercial transactions.
β’ Strong comprehension of critical SaaS contract issues, including limitation of liability, indemnification, warranties, service levels, data protection, confidentiality, audit rights, termination, payment, and renewal terms.
β’ Capability to review and negotiate privacy, data protection, cybersecurity, AI, and intellectual property provisions as part of broader commercial agreements.
β’ A practical, solution-oriented approach with the capacity to balance legal risks, customer expectations, sales priorities, and company standards.
β’ Outstanding ability to clearly communicate contract risks and negotiation trade-offs to non-legal stakeholders.
β’ Interest in enhancing contracting processes, templates, playbooks, and workflows to support the scaling of a fast-growing SaaS company.
β’ Ability to responsibly leverage AI and agentic tools to enhance contract review, drafting, negotiation preparation, and legal operations while maintaining strong judgment and confidentiality.
