This is a fully remote position, open to applicants in United States.
• Develop and execute a legal strategy that aligns with corporate goals.
• Oversee and organize complex, high-value, and enterprise-critical transactions that impact the company’s strategy and market positioning.
• Anticipate and recognize legal trends while offering strategic, business-focused recommendations to senior leadership to proactively position the organization.
• Lead significant initiatives such as mergers and acquisitions, market expansion, or major partnerships.
• Provide daily product and business counsel for Advarra’s product team.
• Negotiate and offer ongoing legal support for strategic partnerships and collaborations.
• Deliver continuous legal support to the human resources team.
• Assist with litigation, investigations, and other special projects as required.
• Collaborate with internal and external subject matter experts, including external counsel, when necessary.
• Manage the contracting process and act as the main point of contact for internal stakeholders and clients.
• Draft and negotiate various contracts, including master agreements (containing SaaS subscription terms), data privacy agreements, statements of work, software user agreements, business associate agreements, and consulting service arrangements.
• Address inquiries related to contract interpretation and compliance.
• Introduce innovative methodologies or tools to establish and institutionalize scalable legal operational excellence.
• Serve as a recognized subject matter expert and cultivate strong working relationships with internal clients, founded on mutual trust, respect, and an understanding of the company’s business, needs, and objectives.
• Mentor and guide junior attorneys and legal professionals to enhance capabilities across the legal function.
• Perform other duties as assigned.
• J.D. and Bar Admission are mandatory.
• A minimum of 15 years of relevant legal experience, with a strong preference for in-house experience.
• Experience working in-house at a technology company, software firm, CRO, or pharmaceutical organization.
• Proficiency in various types of commercial transactions (e.g., SaaS, strategic alliances, IP licensing, software licensing, contractor agreements, outsourcing, facilities management, etc.).
• Experience in at least one of the following areas: product counseling, employment law, intellectual property, mergers and acquisitions, or partnerships.
