This is a fully remote position, open to applicants in Texas.
• Provide support for corporate governance within Giga’s legal entities, addressing board and committee issues, subsidiary management, and maintaining minute books.
• Assist in equity administration and associated legal tasks, encompassing option grants, secondary transactions, and cap table matters in collaboration with the finance team.
• Facilitate financing transactions, including venture funding rounds, debt facilities, and project finance structures, working in conjunction with external legal counsel as necessary.
• Aid in regulatory compliance efforts across federal, state, and local regulations pertinent to Giga’s operations, including those related to energy, construction, and data privacy.
• Draft and negotiate corporate and general commercial agreements such as NDAs, consulting contracts, IP assignments, and intercompany arrangements.
• Provide guidance on employment law issues in collaboration with HR, including offer letters, separation agreements, equity-related employee inquiries, and policy development.
• Oversee and manage relationships with outside counsel on corporate issues, including scoping, billing oversight, and ensuring quality control.
• Develop scalable legal processes and templates as Giga expands, including contract playbooks, approval workflows, and tools for entity management.
• Collaborate cross-functionally with finance, HR, operations, and leadership on strategic and urgent legal matters.
• Juris Doctor (JD) from an accredited law school and active bar admission in at least one U.S. jurisdiction.
• Minimum of 4 years of corporate legal experience, either in a law firm or in-house, with substantial exposure to corporate governance, equity, and financing transactions.
• Strong generalist instincts — capable of triaging a wide range of legal issues while knowing when to delve deeper or when to seek external assistance.
• Exceptional attention to detail, with the ability to manage multiple workstreams concurrently without oversight.
• Clear and direct communicator who can articulate legal concepts to non-lawyers and quickly build trust across teams.
• Comfortable navigating ambiguity and motivated by the prospect of building in a dynamic, fast-growing environment.
