This is a fully remote position, open to applicants in Brazil.
• Prepare and negotiate transactional documents including NDAs, NBOs/LOIs, SPAs, SHAs, FIDCs, and earn-out agreements.
• Organize and execute both domestic and international M&A transactions, overseeing the process from initial assessment to post-closing activities.
• Oversee timelines, track deadlines, and coordinate with external legal counsel and internal teams.
• Ensure compliance with closing conditions, covenants, and representations and warranties.
• Assist in capital structure transactions.
• Maintain and update the corporate structure of the Asaas group.
• Manage and file corporate documents.
• Execute corporate reorganizations, such as mergers, demergers (spin-offs), and incorporations.
• Collaborate with foreign law firms and agents.
• Aid in corporate governance matters.
• Assess the effects of M&A transactions, investment rounds, and secondary sales on the capitalization table.
• Examine provisions related to acceleration, anti-dilution, vesting, and liquidation preferences.
• Design and evaluate incentive plans and retention packages.
• Juris Doctor degree and active membership in the Brazilian Bar Association (OAB).
• Proficient in English, both written and spoken.
• Extensive background in Corporate Law and M&A.
• Strong collaboration skills with business sectors and structured operations (FIDCs, IPOs, etc.).
