• Develop realistic deal scenarios reflecting transactional practices, encompassing M&A due diligence, SPAs/APAs, securities filings, NDAs, governance, and disclosure schedules.
• Create high-quality “gold standard” responses at an attorney-level standard to assist in AI model training.
• Assess and rate AI-generated outputs by utilizing structured rubrics and legal/commercial benchmarks.
• Provide comprehensive written feedback aimed at enhancing model accuracy, reasoning, and consistency.
• Engage in onboarding sessions, office hours, and specialized calibration discussions.
• 1–4 years of professional experience in transactional or corporate law (law firm, in-house, or similar setting).
• Possess a J.D. (U.S./Canada) or LL.B./LL.M. (U.K.) from an accredited institution.
• Licensed to practice law in the United States, Canada, or the United Kingdom (either active or inactive).
• Strong background in contract review, due diligence, corporate governance, NDA drafting, or securities filings.
• Exceptional written communication abilities with a keen attention to detail.
• Experience in preparing disclosure schedules or overseeing closing checklists.
• Familiarity with private equity, venture capital, or fund formation activities.
• Knowledge of SEC reporting or securities offerings.
• Experience utilizing virtual data rooms (e.g., Intralinks, Datasite).
