This is a fully remote position, open to applicants in United States.
• Manage the company’s legal framework, corporate documentation, board resolutions, and shareholder issues.
• Ensure adherence to relevant laws and regulations (corporate, securities, environmental, privacy, employment, antitrust).
• Draft, revise, and implement internal policies to fulfill legal requirements.
• Provide guidance on suitable insurance coverage and handle claims management.
• Direct legal responses during emergencies, such as data breaches, service disruptions, SLA violations, and on-site incidents.
• Act as a trusted advisor to senior management, offering objective and practical legal counsel.
• Assist in preparing for Board of Directors meetings, including agendas and materials, while advising on fiduciary responsibilities.
• Spearhead legal strategies for site and land acquisition, zoning, permitting, and entitlements.
• Draft and negotiate purchase and sale agreements, ground leases, build-to-suit leases, easements, and joint venture contracts.
• Oversee title inspections, boundary disputes, and environmental evaluations.
• Structure and negotiate lease agreements for hyperscale data centers, MSAs, and SLAs.
• Ensure compliance with data privacy, cybersecurity, and operational risk standards.
• Facilitate customer onboarding and manage the contract lifecycle effectively.
• Provide advice on power procurement strategies, including PPAs, utility interconnection agreements, and take-or-pay clauses.
• Assess and structure on-site generation projects (solar, battery storage, microgrids) and renewable energy co-location.
• Navigate regulatory landscapes concerning energy tariffs, grid reliability, and sustainability reports.
• Lead due diligence and execution processes for mergers, acquisitions, and joint ventures.
• Support financing efforts, including construction loans, recapitalizations, and structured transactions.
• Oversee corporate governance, board activities, and investor relations.
• J.D. from an accredited law school; must be admitted to practice and in good standing with at least one U.S. state bar.
• Over 10 years of extensive legal experience, preferably including roles as in-house General Counsel or Deputy General Counsel.
• Demonstrated expertise in data center leasing transactions, land acquisition, and real estate development.
• In-depth understanding of corporate governance, commercial agreements, and regulatory compliance.
• Experience in energy strategy, utility contracts, and large-scale development projects is highly preferred.
• Excellent negotiation skills and capability to handle complex, high-value transactions.
• Exceptional business insight with the ability to weigh legal risks against commercial objectives.
