This is a fully remote position, open to applicants in United States.
• Draft, negotiate, and oversee a variety of commercial and governmental agreements, including enterprise SaaS and data contracts, business associate agreements, data processing agreements, strategic partnerships, vendor contracts, and others.
• Engage directly with large enterprise clients, government entities, and strategic partners, balancing the need for quick closures with careful risk management.
• Acquire in-depth knowledge of Truven’s products, business model, strategy, and culture to provide practical and actionable legal counsel on privacy, product, compliance, and enforcement issues as they arise.
• Foster strong business relationships with leadership, internal stakeholders, and external partners to further business and legal interests while collaborating on the development of innovative products, technologies, and markets.
• Contribute to the creation of more efficient processes to enhance contracting and ensure compliance.
• Collaborate with current contract management systems and processes, identifying, implementing, and supporting necessary enhancements.
• Perform additional duties and responsibilities as required, requested, and/or assigned.
• J.D. from an ABA-accredited law school and eligible to practice law in-house in the state of residence (or ability to obtain promptly).
• Over 3 years of relevant experience (in a law firm and/or in-house) supporting commercial, product, technology, and/or regulated industry work.
• Strong drafting and negotiation abilities with a proven history of advancing deals and finalizing complex agreements.
• A practical, business-oriented mindset: able to identify risks, articulate them clearly, and suggest alternatives that allow teams to proceed.
• Comfortable operating in a fast-paced environment with multiple stakeholders, changing priorities, and tight deadlines, while maintaining attention to detail.
• Excellent communication and relationship-building skills; adept at collaborating with Sales, Product, Engineering/Security, and Operations teams.
• Working knowledge of data privacy principles and the capability to support privacy-centric contracting (such as DPAs, BAAs, and data use terms).
• Experience in health tech, data, SaaS, analytics, or other regulated technology sectors.
• Familiarity with government clients, public sector procurement, and/or flow-down requirements is advantageous.
