This is a fully remote position, open to applicants in California.
• Oversee the preparation of SEC filings in accordance with the 33 and 34 Acts, including Form 10Ks, 10Qs, 8Ks, proxy statements, and registration statements, collaborating closely with Finance, Accounting, and HR.
• Manage Section 16 filings for reporting individuals and ensure proper record-keeping processes.
• Support capital market transactions, which encompass public and private equity and debt offerings, due diligence, and financing transactions for the Company and its affiliates.
• Organize the annual meeting of stockholders, including the creation of annual meeting documentation.
• Monitor quarterly related party transaction tracking and refresh the related questionnaire annually.
• Ensure adherence to SEC and NYSE regulations, including updates to the NYSE listing manager.
• Maintain the entity management database for compliance with Section 16 requirements.
• Assist in preparing board materials and resolutions, board and shareholder consents, as well as officer and secretary certificates for the Company and associated entities.
• Oversee the transfer agent, addressing stockholder concerns and dividend notifications.
• Retain a comprehensive understanding of Class B shares for exchanges with Class A shares.
• Keep corporate minute books, records, and other legal files, including the electronically shared legal database.
• Conduct legal research and manage special projects as needed.
• Aid in developing company policies aimed at mitigating risks related to industry-specific issues, corporate governance, or regulatory affairs.
• Direct the Legal Team's technology initiatives and platforms, including billing systems, enterprise risk management (ERM) platforms, and other necessary tools.
• Juris Doctor (J.D.) degree from an accredited law school and admission to the bar in at least one state, maintaining good standing.
• A minimum of four (4) years of experience in a law firm and/or an in-house role, with a solid understanding of a corporate legal department within a public company.
• At least four (4) years of experience in securities law and corporate governance.
• Strong proficiency in legal research and analytical skills.
• Exceptional verbal and written communication abilities; capable of clarifying complex legal issues to colleagues without legal backgrounds.
• High proficiency in Microsoft Office applications, including Word, Excel, and PowerPoint.
• Experience working directly with senior management.
• Analytical mindset – proficient in evaluating documents, interpreting meanings, and effectively communicating data/trends.
• Strong problem-solving skills – adept at identifying and resolving complex issues while proposing effective solutions.
• High ethical standards and professional integrity.
• Ability to develop relationships and possess interpersonal savvy – skilled in building rapport, nurturing relationships, and promoting collaboration across diverse business teams.
• Highly organized and detail-oriented.
• Motivated and quick learner, able to excel in both team settings and independently in a fast-paced environment with tight deadlines.
