This is a fully remote position, open to applicants in Isle of Man.
• Ensure the organization adheres to its statutory and regulatory requirements across various jurisdictions.
• Facilitate effective communication and coordination throughout the organization.
• Uphold the company’s legal and corporate governance framework.
• Provide administrative and compliance assistance to the Board of Directors across a range of international entities.
• Ensure the organization meets statutory and regulatory obligations across multiple jurisdictions, including the preparation and submission of necessary documentation.
• Supervise the upkeep of statutory records and registers in compliance with relevant legal requirements, including registers for members, directors, beneficial owners, and charges.
• Keep abreast of changes in corporate legislation and regulatory requirements in pertinent jurisdictions.
• Aid in ensuring that group entities adhere to local regulatory obligations.
• Assist the Board of Directors in understanding and executing their corporate governance duties.
• Organize and coordinate board and committee meetings, including preparing agendas, distributing board packs, and accurately recording meeting minutes.
• Maintain documentation of board resolutions and ensure proper recording of significant corporate decisions.
• Assist with the formation and upkeep of the group’s corporate structure, including the incorporation, restructuring, and dissolution of entities as necessary.
• Keep corporate records, statutory registers, and governance documents for all group entities up to date.
• Coordinate the issuance of share certificates, share allotments, and share transfers.
• Maintain records of ultimate beneficial ownership and support local Corporate Service Providers (CSPs) with related regulatory reporting obligations.
• Conduct and maintain Know Your Client (KYC) and due diligence checks on directors, shareholders, beneficial owners, suppliers, and other third parties.
• Ensure accurate and current due diligence records in line with internal policies and regulatory standards.
• Complete due diligence documentation and questionnaires required by financial institutions, regulators, and third-party organizations.
• Collaborate with external service providers such as lawyers, auditors, regulators, banks, and corporate service providers across various jurisdictions.
• Assist internal teams with corporate governance and entity management issues throughout the organization.
• Help with bank account openings, requests for corporate documentation, and compliance inquiries.
• A degree in Law, Business, Corporate Governance, or a related field.
• A professional qualification such as ICSA, or progress towards such a qualification, would be beneficial.
• Demonstrated experience in a company secretarial, corporate governance, or corporate administration position, preferably within a corporate services provider, legal firm, or international corporate group.
• Solid understanding of corporate governance and statutory compliance across various jurisdictions.
• Exceptional organizational and administrative abilities with a keen eye for detail.
• Strong written and verbal communication skills.
• Proficiency in digital working environments and corporate governance/entity management systems.
• Ability to work independently while maintaining strict confidentiality and managing sensitive information with care.
• A proactive mindset and a strong eagerness to learn and grow within the role.
