This is a fully remote position, open to applicants in Washington.
• Offer legal guidance on corporate governance issues, encompassing board and committee practices, corporate policies, delegation of authority, and adherence to corporate formalities.
• Draft and assess board and committee documentation, including resolutions, consents, minutes, and related governance paperwork; assist with the corporate secretarial role and governance recordkeeping.
• Manage the global legal entity framework and corporate housekeeping activities, such as formations, dissolutions, reorganizations, and ongoing maintenance in collaboration with Finance and Tax.
• Direct and supervise legal workstreams for mergers & acquisitions and other strategic transactions, covering structuring, due diligence, negotiation of definitive agreements, and integration support.
• Draft, evaluate, and negotiate essential transaction documents, including LOIs, purchase agreements, disclosure schedules, and ancillary contracts.
• Provide legal assistance for equity plans and equity-related corporate matters, including plan documentation, amendments, governance approvals, and coordination with HR/Total Rewards and Finance regarding equity administration support.
• Extend legal support for credit agreements and various financing arrangements, including negotiation and review of credit facilities, guarantees, security documents, and related closing deliverables.
• Support debt and equity financing transactions, including term sheets, due diligence, negotiation of definitive documentation, and closing execution in collaboration with Treasury/Finance and external counsel.
• Deliver public company legal support, advising on disclosure matters and drafting/reviewing SEC filings such as Forms 10-K, 10-Q, 8-K, and proxy materials (as applicable), in partnership with Finance, Investor Relations, and external counsel.
• Collaborate with internal stakeholders on disclosure controls, governance processes, and transaction-related communications and approvals.
• Cultivate relationships with outside counsel; effectively manage external counsel to ensure high-quality advice and cost-effective support.
• Ensure timely responses to queries and accurately direct non-legal inquiries to the appropriate department.
• Develop and conduct training sessions for employees and executives on a variety of topics within the counsel's areas of responsibility.
• Juris Doctor (JD) from an accredited U.S. law school and an active license to practice law in at least one U.S. jurisdiction (in good standing).
• 8-12 years of experience as an attorney with a combination of significant law firm and in-house experience, including substantial corporate and transactional expertise.
• Proven experience with corporate governance and entity management, including the preparation of corporate approvals and maintenance of corporate records.
• Extensive experience leading and executing mergers & acquisitions and other intricate corporate transactions.
• Experience supporting equity plans and equity-related corporate matters; familiarity with cross-functional collaboration with HR/Total Rewards and Finance.
• Experience advising on and negotiating credit agreements and financing transactions, including debt and/or equity financings.
• Public company experience is required, including active involvement with SEC reporting and disclosure (e.g., 10-K/10-Q/8-K and proxy materials, as applicable) and understanding of disclosure controls and related governance requirements.
• Diplomatically skilled with strong external and internal negotiation and conflict resolution capabilities.
• Demonstrate meticulous attention to detail and an organized approach to swiftly identify issues and provide solutions.
• Ability to be innovative and adaptable while maintaining a focus on business-oriented outcomes. Commercial acumen is essential.
• Highly developed written and oral communication skills, with the capability to clearly present recommendations and options related to complex legal matters.
• Highly collaborative, with the ability to organize and manage projects involving multiple stakeholders.
