This is a fully remote position, open to applicants in California.

📋 Description

• Review, negotiate, and oversee third-party contracts, which include master services agreements, commercial agreements, consulting agreements, confidentiality agreements, collaboration agreements, supply agreements, and various other agreements.

• Manage and evaluate current contract templates while working on the development of new templates and updating existing ones in line with company guidelines and Legal Department requirements.

• Provide support and guidance to internal clients regarding the company's contract management system and relevant policies.

• Collaborate effectively with other in-house attorneys and paralegals within the Legal Department to swiftly achieve objectives.

• Design and deliver legal training sessions for employees, and offer continuous training to internal clients concerning contract processes and other company policies.

• Conduct research, analyze findings, and provide suitable recommendations to business partners to address legal and business challenges.

• Prepare contract summaries and issue lists for executive review.

• Oversee compliance with internal business and legal processes and policies.


⛳️ Requirements

• 0-2 years of experience as in-house counsel, or a combination of in-house experience, government positions, and/or tenure at a nationally recognized law firm specializing in the responsibilities outlined above.

• Juris Doctorate from an accredited law school.

• Admitted to practice in California or licensed in another state with the ability to obtain in-house counsel registration in California.

• Undergraduate degree in life sciences or a healthcare-related field is preferred but not mandatory.

• Experience in contract law, with strong skills in drafting, reviewing, and proofreading, alongside a proven attention to detail in document preparation.

• Knowledge of contracts and understanding of essential provisions such as indemnities, limitations of liability, intellectual property, warranties and covenants, regulatory provisions, performance obligations, dispute resolution, termination, and other key negotiation issues.

• Capable of establishing robust relationships with peers and partners across functional teams to foster high performance in a dynamic environment.

• Able to quickly assimilate information, recognizing critical factors and risks, while implementing immediate changes as necessary.

• Exceptional written and verbal communication skills.

• Demonstrates a flexible and dynamic approach to working within a fast-paced biotechnology company.

• Proficient in multitasking effectively and willing to undertake all necessary tasks, regardless of level, to ensure project success.

• In-depth knowledge of Microsoft Office applications, including Word, Excel, PowerPoint, Outlook, and Windows, as well as document comparison tools.

• Willingness to travel on a limited basis as required.
